Abstract

The emergence of electronic contracts has come about as a result of major shifts in communications and information technology. They are considered as valid and binding as any other contracts. Their unique characteristic resides in the fact that they are concluded remotely using an electronic medium, primarily the internet. Offer and acceptance are expressed electronically, such as by e-mail or through digital communication platforms, similar in principle to traditional contracts. This means that electronic contracting can happen regardless of the parties' physical location or time zone. In fact, determining the precise time and place of conclusion for an electronic contract is crucially important under contract law principles. Regarding time, the general rule dictates that the moment of contracting is typically the moment when the acceptance is received by the offeror. Regarding place, the location where the contract is deemed concluded, along with the nature of the agreement, are pivotal factors. They directly influence the determination of the applicable law governing the contract and the jurisdiction of the competent court to adjudicate any disputes arising between the parties to the electronic contract.
